Terms of Service

These Terms of Service (“Terms”) govern your access to and use of HelioSnap, a guest social album platform operated by Stills in Motion LLC, a Nevada limited liability company (“HelioSnap,” “we,” “us,” or “our”). By creating an account, purchasing an event room, or otherwise using HelioSnap, you agree to be bound by these Terms. If you do not agree, do not use the service.

HelioSnap lets a Moderator (an event host, photographer, or company that creates and manages a room) activate a shared, event-scoped social album. Guests invited to that room can create an account, upload their own photos and videos, and interact with a live feed alongside the room's official content. HelioSnap provides the platform; the Moderator is responsible for the event itself. A Seller is an independent referrer, set up directly by HelioSnap, who shares a personal referral code with Moderators in exchange for a commission — see Section 10.

You must provide accurate information when creating a Moderator, Guest, or Seller account and are responsible for keeping your login credentials secure. You're responsible for all activity that happens under your account. Let us know right away if you believe your account has been accessed without your permission.

You must be at least 13 years old to create a HelioSnap account of any kind. By creating an account, you represent that you meet this requirement and, if you're between 13 and 17, that a parent or legal guardian has given you permission to do so.

Any email address you provide to HelioSnap — including through automatic guest email capture when you join an event, where enabled by that event's Moderator — may be used to send you promotional material about HelioSnap, in addition to transactional messages about your account, event, or purchases. See Section 12 (Privacy) for details.

Seller accounts are not self-service — they're created directly by HelioSnap, one at a time. There is no public sign-up for a Seller account, and HelioSnap may decline to create one or may deactivate an existing one at its discretion.

Activating a room is a one-time, per-event fee— there is no subscription. The price is shown to you before you pay and may decrease based on how many rooms you've already activated. Each room includes a set amount of storage; additional storage can be purchased as a one-time add-on. Payments are processed securely by our third-party payment processor (Stripe) — HelioSnap never stores your full card details.

Refunds: a room activation is refundable if you request the refund before the event has taken place (i.e., before the room has actually been used to gather guest content for that event). Once the event has occurred, or content has been meaningfully uploaded to the room, the activation fee is non-refundable. Storage add-ons are refundable under the same before-the-event condition. You own the photos, videos, and comments you upload to HelioSnap (“User Content”). By uploading User Content, you grant HelioSnap and the room's Moderator a worldwide, royalty-free license to host, store, display, and distribute that content solely for the purpose of operating the room and the service — for example, showing it in the live feed to other members of that room, or making it available for the Moderator's own official album. This license ends when you delete the content or your account, except where content has already been shared with, downloaded by, or incorporated into another member's copy of the album.

A room's Moderator can remove content from their own room's official album. HelioSnap may remove or restrict any content, at any time, that violates these Terms or applicable law.

You agree not to use HelioSnap to:

• Upload content you don't have the right to share, or that infringes someone else's copyright or other rights (see our DMCA Policy to report infringing content)
• Upload unlawful, harassing, hateful, sexually explicit, or otherwise abusive content
• Impersonate another person, or misrepresent your affiliation with a person or entity
• Attempt to access another user's account, another Moderator's room, or any non-public part of the service without authorization
• Interfere with or disrupt the service, or attempt to bypass any storage, access, or payment controls

A Moderator controls who can join their room (via access code) and is responsible for how that access is shared and for the conduct of their own event and any staff they invite. Guests agree to respect the room's content and other members — a room is a shared space, not a public one.

HelioSnap is often used at events — weddings, family gatherings, community events — where guests and Moderators upload photos and videos that include children. If you upload a photo or video that shows a minor, you're representing that you're that minor's parent or legal guardian, or that you have that parent or guardian's permission, to upload it and have it shown to other members of that room. You're responsible for that representation, including any claim that arises if it wasn't true — see Section 15 (Indemnification).

HelioSnap does not independently verify this consent for any upload. A room's Moderator is responsible for configuring their room's settings appropriately and reasonably moderating guest uploads when children may be present.

No one under 13 may create a HelioSnap account of any kind. We don't knowingly collect account registration information from anyone under 13, and if we learn an account was created by someone under 13, we'll close it and delete the associated data.

A room's Moderator may include sponsor ads or links to third-party offers in their event. HelioSnap is not responsible for the content, accuracy, or practices of any sponsor or third-party site an ad links to — following one of those links takes you outside HelioSnap, and that site's own terms and privacy policy apply from that point on.

A Seller is given a personal referral code by HelioSnap. When a Moderator enters that code at registration, the Moderator receives a 5% discount on every purchase they make going forward, and the Seller earns a commission — at the rate HelioSnap has set for that Seller — on every one of that Moderator's purchases. This link is permanent for that Moderator's account once set; it isn't re-assignable to a different Seller later.

Commission balances are shown to the Seller in real time as purchases occur. A Seller who connects a bank account or debit card (via our payment processor, Stripe) can withdraw their available balance themselves, at any time — HelioSnap does not hold or delay a withdrawal a Seller has requested and is entitled to. Payouts are currently available only to Sellers with a U.S. bank account or debit card and a U.S. mailing address — we may expand this in the future, but cannot process a payout outside the U.S. today. If a Seller cannot or does not connect a payout method, HelioSnap may still pay a commission balance manually, at its discretion.

Withdrawals are attempted as an instant payoutfirst — funds typically arrive on a debit card within minutes, and a small instant-payout fee (currently around 1.5% of the withdrawal, set by Stripe, not HelioSnap) is deducted from the amount the Seller receives. If instant payout isn't available for a Seller's connected account, the withdrawal automatically falls back to a standard bank transfer (typically 1-2 business days) at no fee. If a payout fails after being requested (for example, a closed bank account), the corresponding commission balance is restored so the Seller can see it and try again — it is never simply lost.

Commission rates, referral codes, and Seller accounts — including payout access — may be changed, paused, or revoked by HelioSnap at any time, including for suspected fraud, abuse, or misrepresentation of HelioSnap to the companies or Moderators a Seller refers. Sellers are independent contractors, not employees or agents of HelioSnap, and are solely responsible for their own taxes on commission income, including reporting it to the applicable tax authorities. Where required by law, HelioSnap (or its payment processor) may issue tax forms (such as a Form 1099) reflecting commissions paid to a Seller during the year.

The HelioSnap name, logo, and platform (excluding User Content) are owned by Stills in Motion LLC. Nothing in these Terms grants you any right to use HelioSnap's branding without our written permission.

We collect the information you provide when creating an account (such as your name and email) and the content you upload. We use it to operate the service — including sending you emails related to your account, event, or purchases — and don't sell your personal information to third parties. Event photos/videos are stored via our cloud storage provider and are accessible to other members of the same room, consistent with how the service is designed to work.

Marketing communications:when you provide an email address to HelioSnap — whether by registering as a Moderator or by joining an event as a Guest, including through automatic guest email capture where enabled by that event's Moderator — we may use it to send you promotional material about HelioSnap, in addition to transactional messages about your account, event, or purchases. Every promotional email includes a working unsubscribe link, and you can opt out at any time without affecting your ability to receive transactional messages (such as notice that your album is ready, or a retention/deletion reminder), which continue regardless of your marketing preference since they're not promotional.

For Sellers specifically:HelioSnap stores your name, email, referral code, commission rate, and commission history — that's it. If you connect a payout method, we store only a reference ID for your Stripe account and whether payouts are currently enabled; we never see, collect, or store your bank account number, debit card number, Social Security Number, or other identity documents. That information is collected and held directly by Stripe, our payment processor, through Stripe's own secure onboarding flow, and is governed by Stripe's Privacy Policy in addition to this one. We share your name and email with Stripe only to set up your payout account.

Cookies and tracking:we use cookies and similar technology to keep you signed in and to understand how the service is used. We don't use them to build advertising profiles about you or to track you across other sites.

Data security:we take reasonable administrative, technical, and organizational measures to protect your information. No method of transmission or storage is completely secure, though, and we can't guarantee absolute security.

How we share your information: we share information with the vendors who help us run HelioSnap — our cloud hosting and storage provider and our payment processor (Stripe) — only as needed for them to provide those services to us. We may also disclose information if required by law, subpoena, or to protect the rights, property, or safety of HelioSnap or our users. If HelioSnap or Stills in Motion LLC is ever acquired or merges with another company, your information may transfer as part of that transaction, subject to the same protections described here.

International users: HelioSnap is operated from the United States. If you use the service from outside the U.S., your information will be transferred to and processed in the United States.

Nevada residents:Nevada law gives you the right to ask a business not to sell certain covered information about you. HelioSnap does not sell personal information as defined under Nevada law, so there's nothing to opt out of today — if that were ever to change, this policy would be updated first.

If you're located somewhere that gives you rights over your personal data (such as access, correction, or deletion), contact us at [email protected] and we'll honor reasonable requests.

When a room's activation window ends, its data isn't deleted right away — it's held for a retention period so the Moderator and any Guests who joined can still download photos, videos, and the room's contact list. Rooms are held for 3 months after they end by default, extendable to 6 or 12 months as a paid add-on.

Once a room's retention window fully elapses, HelioSnap automatically and permanently deletes that room — its photos, videos, comments, and related data — from our systems, including our cloud storage provider. This deletion is irreversible; there is no way for us to recover a room once its retention window has passed.

Account-level information (such as your name, email, and profile photo) is tied to you, not to any single room, and isn't automatically deleted when a room is. To request deletion of your account or personal information sooner, contact us at [email protected].

HelioSnap is provided “as is” and “as available,” without warranties of any kind, whether express or implied. We don't guarantee the service will be uninterrupted, error-free, or that content will never be lost — though we take reasonable measures to protect it. HelioSnap is not responsible for the conduct of Moderators, Guests, or Sellers, or the content Moderators and Guests upload.

To the fullest extent permitted by law, Stills in Motion LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising from your use of HelioSnap. This includes any dispute over commission amounts, referral attribution, or the timing of a Seller payout. Our total liability for any claim relating to the service will not exceed the amount you paid us (or, for a Seller, the commission actually owed to you) in the twelve months before the claim arose.

You agree to indemnify and hold harmless Stills in Motion LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of HelioSnap or your violation of these Terms — including claims brought by a third party as a result of content you (as a Moderator or Guest) upload or share through the service, including a photo or video of a minor uploaded without the consent described in Section 8, or as a result of how you (as a Seller) represent HelioSnap to a company or Moderator you refer.

We may suspend or terminate your access to HelioSnap if you violate these Terms. You may stop using the service at any time. Sections of these Terms that by their nature should survive termination (such as ownership, disclaimers, indemnification, and limitation of liability) will continue to apply.

We may update these Terms from time to time. If we make material changes, we'll update the “Last updated” date above. Continuing to use HelioSnap after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of laws principles.
